The attorneys in the Taxation Section at Glast, Phillips & Murray are experienced in representing clients who have needs in all phases of taxation: Federal, state, and international. Taxes pervade all aspects of economic life and our attorneys are prepared to assist clients in all of those aspects.

A brief overview of our expertise includes (i) tax planning, (ii) structuring for and organization of business entities, (iii) corporate and other business structure reorganizations (acquisitive as well as non-acquisitive reorganizations) to achieve better tax and business efficiency (including use of state business organization statutes to achieve favorable non-tax results), (iv) acquisition and disposition of businesses, (v) representation of clients in family financial matters (including, long range tax planning and structuring to achieve family goals, and including, in the context of family split-ups, tax advice in ongoing business transactions to reduce overall income, estate and gift taxes, (vi)compensation, ERISA, qualified and non-qualified employee benefit and employment tax matters including design, qualification and compliance matters relating to qualified and non-qualified retirements and deferred compensation, health and other fringe benefits, and other compensation and benefit arrangements; (vii) representation before administrative agencies (Federal and state) in obtaining tax rulings for proposed transactions, (viii) representation in adversarial proceedings involving tax audits and appeals (Federal and state), and (viii) representation of clients in tax matters before appropriate state or Federal courts. Adversary representation also includes the full range of representation of clients in collection matters (both state and Federal) and assisting clients in using the full range of legally authorized protections in that context.

Our attorneys have, in addition to Federal and state tax experience, significant experience and expertise in assisting clients in cross-border (international) transactions, both inbound to and outbound from the United States. We can assist clients in selecting and ‘interacting‘ with non U.S. counsel; we are experienced in planning transactions to effectively maximize returns by considering both U.S. law and the laws of other jurisdictions (in coordination with local country counsel).
